The Board of Directors is responsible for strategic governance, ensuring that CRDB maintains its strong reputation, complies with regulations, leverages technology effectively, and enhances shareholder value.

Available Board Member Positions

CRDB Bank Plc is looking to fill five (5) Board Member positions:

1️⃣ Independent Board Member (1 position) – Represents all shareholders.
2️⃣ Board Member for Shareholders (1%–10% ownership) (1 position) – Represents shareholders owning between 1% and 10% of CRDB shares.
3️⃣ Board Members for Shareholders (<1% ownership) (3 positions) – Represent shareholders owning less than 1% of shares.

These Board Members will be elected by shareholders, with the Independent Board Member elected by all shareholders during the 30th Annual General Meeting (AGM) on 17th May 2025.

Eligibility Criteria & Required Qualifications

To qualify, candidates must meet the requirements outlined in the Banking and Financial Institutions (Corporate Governance) Regulations, 2021. Applicants should have expertise in one or more of the following fields:

✔ Banking, Finance, or Accounting
✔ Auditing or Law
✔ Economics or Risk Management

Additionally, CRDB Bank is particularly interested in candidates with specialized skills in:

✅ Data Science & Cybersecurity
✅ Information Technology (Software, Systems, & Engineering)
✅ Environmental, Social, & Governance (ESG) & Sustainability
✅ Human Resources & Leadership
✅ Insurance & Risk Management
✅ Board Experience (minimum of 3 years required)

Responsibilities of the Board Members

As part of CRDB Bank’s Board, members will be expected to:

✔ Shape the Bank’s vision, mission, and values to ensure its long-term sustainability.
✔ Monitor and evaluate the Bank’s strategies for continued growth and compliance.
✔ Oversee risk management and regulatory adherence.
✔ Enhance shareholder value through effective governance.
